  2. The specific scope, timeline, and deliverables for any project will be agreed upon separately with each client, typically through a proposal, contract, or written agreement outside of these Terms.
  3. These Terms apply generally to your use of our website and initial engagement with us; specific project terms may be governed by a separate signed agreement, which will take precedence over these Terms in the event of a conflict.

3. Customer Use of the Services

  1. You agree to provide accurate, current, and complete information when submitting inquiries, contact forms, or engaging our Services.
  2. You agree not to use our website or Services for any unlawful purpose, or in any way that could damage, disable, or impair our website or interfere with any other party's use of it.
  3. You are responsible for maintaining the confidentiality of any account credentials or project access we provide to you during an engagement.

4. Intellectual Property Rights

  1. Unless otherwise agreed in a separate written contract, upon full payment for a completed project, ownership of the final deliverables (e.g. source code, designs) created specifically for you will transfer to you.
  2. DevZyx retains the right to use general knowledge, skills, and pre-existing tools, frameworks, or code libraries developed prior to or independently of your project.
  3. All content on the DevZyx website, including our name, logo, branding, and website design, remains the exclusive property of DevZyx and may not be copied or used without permission.
  4. We may request permission to showcase completed client work in our portfolio, case studies, or marketing materials, unless otherwise agreed in writing.

5. Data Security & Disclosure

  1. We handle personal and project-related information in accordance with our Privacy Policy, available at /privacy-policy.
  2. We take reasonable measures to protect any data or materials shared with us during a project, including secure storage practices and limited access controls.
  3. We are not liable for data loss or breaches caused by circumstances outside our reasonable control, including third-party service failures.

6. Service-Specific Terms & Conditions

  1. Web Development, Mobile App Development, Backend & API, UI/UX Design, Brand & Product Strategy, and Cloud Infrastructure engagements may each have specific deliverables, timelines, and revision policies, which will be detailed in individual project agreements or proposals.
  2. Unless otherwise stated, project timelines communicated during initial consultations are estimates and may vary based on project complexity, client responsiveness, and scope changes.
  3. Any changes to project scope after work has begun may result in adjusted timelines and fees, to be agreed upon in writing before proceeding.

7. Fees & Payment

  1. Fees for our Services will be communicated and agreed upon prior to the start of any project, typically via a proposal or invoice.
  2. Payment terms (e.g. deposits, milestone payments, final payment) will be specified per project and are due according to the agreed schedule.
  3. Late payments may result in a pause of ongoing work until payment is received.
  4. All fees are non-refundable once work has commenced, unless otherwise agreed in writing.

8. Term and Termination

  1. These Terms remain in effect for as long as you use our website or Services.
  2. Either party may terminate an ongoing project engagement with written notice, subject to the terms of any separate signed agreement for that project.
  3. Upon termination, you will be responsible for payment of any work completed up to the termination date.
  4. We reserve the right to suspend or terminate access to our Services if these Terms are violated.

9. Disclaimers

  1. Our website and Services are provided "as is" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability or fitness for a particular purpose.
  2. We do not guarantee that our website will be uninterrupted, error-free, or completely secure.
  3. Any results, timelines, or outcomes discussed during consultations are estimates and not guarantees of specific business results.

10. Indemnity

  2. Our total liability for any claim arising from a project engagement will not exceed the total fees paid by you for that specific project.

12. Arbitration

  1. Any disputes arising from these Terms or our Services will first be addressed through good-faith negotiation between the parties.
  2. If a dispute cannot be resolved through negotiation, it may be submitted to binding arbitration in accordance with applicable local laws, rather than pursued through court litigation, unless otherwise required by law.

13. Miscellaneous

  1. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
  2. These Terms, together with any separate signed project agreements, constitute the entire agreement between you and DevZyx regarding your use of our Services.
  3. These Terms are governed by the laws applicable in Pakistan, without regard to conflict of law principles.

14. Definitions

  1. "Services" refers to any software development, design, or consulting work provided by DevZyx.
  2. "Client" or "you" refers to any individual or business engaging DevZyx's Services or using our website.
  3. "Deliverables" refers to the final work product provided to a client upon project completion.
